What Is Pre-Seed Funding?

Pre-seed funding refers to raising external capital at a startup’s very beginnings. The main purpose is to raise money so founders can turn a business concept into a working product, gauge market demand, build an initial team, and set up the essentials that will support later growth.

Pre-seed startups commonly direct funding toward product development, market research, technology hiring, customer testing, and other early business operations. Given that the company is usually at a very early phase, the investors tend to take on a big risk for possibly gaining returns at some point. So investors might allow the startup a lot of flexibility, as long as it doesn’t harm their potential profits.

How Does Pre-Seed Funding Work?

A startup first determines how much capital it needs and what milestones the funding will help achieve. It then approaches suitable investors and agrees on the investment structure and terms.

A typical process includes:

  1. Define the funding requirement: Determine the amount needed and how it will be used.
  2. Prepare the business case: Present the product, market opportunity, team, business model, and growth potential.
  3. Find suitable investors: Approach angels, early-stage venture capital firms, or other potential funding sources.
  4. Agree on terms: Negotiate valuation, ownership, and the investment structure.
  5. Complete the investment: Finalize documentation and receive the capital.

What Is a Pre-Seed Fund Used For?

A Pre-seed fund can help a startup:

  • Build and test a minimum viable product (MVP)
  • Conduct market research and customer validation
  • Hire essential early employees
  • Develop technology and infrastructure
  • Cover initial operating expenses
  • Prepare for a future seed funding round

Who Provides Pre-Seed Funding?

Caps will typically arrive from one of your main investors: your co-founders (friends, family members), angels, startup accelerators and incubators and early-stage specialized venture capital firms. Which fundraising option is the best one can be a very subjective question. There is no standard answer because each venture fund has its own preference for deal flow, and it also depends on whether the company is at the early stage, growing, or later stage, what it is asking for in funds, its industry and its fundraising roadmap.

Pre-seed financing gives founders resources to test assumptions and reach meaningful milestones before pursuing larger investment rounds. However, founders should carefully consider valuation, ownership dilution, investor rights, and how much capital is actually required to reach the next stage.
